These Legal Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Storage Manager, concerning your access to and use of the Services. By accessing the Services, you confirm that you have read, understood, and agreed to be bound by all of these Legal Terms. If you do not agree with all of these legal terms, then you are expressly prohibited from using the services and you must discontinue use immediately.
We reserve the right to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date, and you waive any right to receive specific notice of each such change. Your continued use of the Services after such changes are posted constitutes your acceptance of the revised terms.
Storage Manager provides a web-based platform designed for owner-operated storage facilities. The platform includes tools for managing users, locations, stored items, scheduling, payments (via Stripe), contracts, and related operational workflows.
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such use would be contrary to law or regulation or would subject us to any registration requirement. Those who access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.
We own or are the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, text, graphics, and logos (collectively, the "Content"), as well as any trademarks, service marks, and logos ("Marks"). Our Content and Marks are protected by copyright and trademark laws in the United States and around the world.
The Content and Marks are provided through the Services for your internal business use only.
Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services solely for your internal business purposes. No part of the Services, Content, or Marks may be copied, reproduced, distributed, sold, or otherwise exploited for any commercial purpose without our express prior written permission.
By sending us any feedback, suggestions, or other information about the Services ("Submissions"), you agree to assign to us all intellectual property rights in such Submission. You are solely responsible for your Submissions and agree not to submit anything that is illegal, inaccurate, or that violates any third party's rights.
By using the Services, you represent and warrant that: (1) you have the legal capacity to agree to these Legal Terms; (2) you are not a minor in the jurisdiction in which you reside; (3) you will not access the Services through automated or non-human means; (4) you will not use the Services for any illegal or unauthorized purpose; and (5) your use of the Services will not violate any applicable law or regulation.
If you provide any information that is untrue, inaccurate, or incomplete, we reserve the right to suspend or terminate your account and refuse any current or future use of the Services.
You may not access or use the Services for any purpose other than that for which we make the Services available. As a user, you agree not to:
The Services are primarily operational tools for storage facility management. To the extent you provide any content, data, or information through the Services, you represent and warrant that you have all necessary rights to do so, and that doing so does not violate any law or third-party rights.
You and Storage Manager agree that we may access, store, process, and use any information and personal data that you provide in accordance with your choices and our Privacy Policy. By submitting suggestions or feedback regarding the Services, you agree that we may use and share such feedback for any purpose without compensation to you. You retain full ownership of your own data and content entered into the platform.
We reserve the right to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who violates the law or these Legal Terms; (3) restrict access to or disable any content that violates these terms; and (4) otherwise manage the Services to protect our rights and facilitate proper functioning.
These Legal Terms shall remain in full force and effect while you use the Services. We reserve the right to deny access to and use of the services, to any person for any reason, including for breach of any representation, warranty, or covenant contained in these legal terms. We may terminate your account or access at any time, without warning, at our sole discretion.
If we terminate or suspend your account, you are prohibited from registering a new account under any name without our express permission. We reserve the right to pursue all available legal remedies.
We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems requiring maintenance that result in interruptions or errors. We have no liability for any loss or inconvenience caused by your inability to access the Services during downtime.
These Legal Terms shall be governed by and construed in accordance with the laws of the United States. You irrevocably consent that courts of competent jurisdiction in the United States shall have jurisdiction to resolve any dispute which may arise in connection with these Legal Terms.
To expedite resolution and control the cost of any dispute, the parties agree to first attempt to negotiate any dispute informally for at least 30 days before initiating arbitration. Informal negotiations commence upon written notice from one party to the other.
Any dispute arising out of or in connection with these Legal Terms that cannot be resolved through informal negotiation shall be resolved through binding individual arbitration. The arbitration shall be conducted in the United States, in English, under applicable arbitration rules. The number of arbitrators shall be one.
Any arbitration shall be limited to the dispute between the parties individually. No arbitration shall be joined with any other proceeding, and there is no right or authority for any dispute to be arbitrated on a class-action basis.
The following disputes are not subject to arbitration: (a) disputes seeking to enforce or protect intellectual property rights; (b) disputes related to theft, piracy, invasion of privacy, or unauthorized use; and (c) claims for injunctive relief.
There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors and to change or update information at any time without prior notice.
The services are provided on an "as-is" and "as-available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranties about the accuracy or completeness of the services' content and will assume no liability for any errors, interruptions, unauthorized access to our servers, or bugs transmitted through the services by any third party.
In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, or loss of data arising from your use of the services, even if we have been advised of the possibility of such damages. Our total liability to you for any cause whatsoever shall be limited to the amount paid, if any, by you to us in the three (3) months preceding the claim.
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees, arising out of: (1) your use of the Services; (2) breach of these Legal Terms; (3) any breach of your representations and warranties; (4) your violation of the rights of a third party; or (5) any harmful act toward any other user of the Services.
We will maintain certain data that you transmit to the Services for the purpose of managing performance and your use of the Services. Although we perform regular routine backups, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. We shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption.
Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, and other communications we provide electronically satisfy any legal requirement that such communication be in writing. You agree to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices, policies, and records of transactions.
These Legal Terms and any policies posted by us on the Services constitute the entire agreement between you and us. Our failure to exercise or enforce any right or provision shall not operate as a waiver of such right or provision. We may assign any or all of our rights and obligations to others at any time. If any provision of these Legal Terms is determined to be unlawful or unenforceable, that provision is severable and does not affect the validity of any remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Legal Terms.
